PROVIDENCE, RI – Secretary of State Nellie M. Gorbea is warning Rhode Island business owners not to be misled by an email solicitation from “Rhode Island Corporate Compliance (RICC).”
“The email cites the Revised Model Business Corporations Act which requires corporations to keep records of accounts, minutes and the names and addresses of all shareholders and directs recipients to submit an “Annual Disclosure Statement” along with a “Document Fee” or “Invoice.”
The solicitation comes at the same time that Rhode Island’s for-profit corporations must file annual reports with the Department of State’s Business Services Division.
“We want to make sure that companies are not misled into filing the form and paying the $125 fee thinking they are filing their annual report with us. That solicitation did not come from us. You must still file your annual report with the Department of State’s Business Services Division,” said Gorbea.
